I would go the route of not saying anything. Your coworker is a big boy and can take care of himself. He has to make the decisions and it's his fault for not putting in the right attitude and effort. He's not some high school kid. He's a grown man that should have some sense of how the business world works. In the corporate world, it's up to his manager to give him a warning to shape up, not you. You just keep doing your job and don't worry.
In the corporate world, employees are just a number on a payroll (as sad as that sounds, that's corporate america). So if tim can't do his job, they'll bring on someone who can, which will probably, in the end, improve the working environment for you and everyone else.
I agree with christimichi, however, if you DO want to say something. I would go along the indirect route. Like an offhand comment such as "You never look happy to be here" or something like that. Just a spark to get his brain rolling. But I wouldn't push it further. And its true, its not your job. But if you're motherly instinct is telling you that you really want to help, do it so that you don't look like you're passing judgement, playing boss, or being pretentious.
