[Background]
Kyouya is the youngest son of the Ootori Group’s head. His family owns most of the hospitals in Japan, and controls the development of products that they use. Needless to say they are a very powerful and influential family. He plays his part as dictated by his father though he is the most brilliant of his sons. Because of his professional attitude in everything he does, Kyouya doesn’t seem to have any real close friends, though he often spent time with his older sister (he doesn’t seem to always ENJOY it though XD ).
Before He broke out of his ‘frame’ Kyouya was the model third son. He stayed below his brothers in achievement, and even was friendly with the other teens in school. It was all, of course, for his father’s company and improving relations. He denied that he was unhappy with his situation of being unable to take over his father’s company seeing as how he was the third son. Meeting Tamaki, an oldest son that did not want to take over the family, infuriated Kyouya. And for the first time he realized his own feelings. He quickly became friends with Tamaki and took on his more shadeow-y or ‘kage-like’ personality.
Tamaki’s idea to form the host club was interesting from Kyouya, and so he willingly participated. Often called the “kage kingu” (shadow king) he controls the inner workings of the Host Club like: funding, trips, hinting at themes for Tamaki to jump on, scaring Haruhi into doing their bidding (though this changes as she gets to know him) and being Ranka-san’s (Haruhi’s Dad) spy. He is given the designation ‘mother’ by Tamaki so that the Host club forms a family unit and seems to bear this title with tolerance.
Though he has yet to actively standup against his father, he no longer has any doubts that he could. No longer letting himself being controlled by his families status and his position as a third son, Kyouya has become free. This of course means, he can act on his darker personality traits rather than be the perfect example of a gentleman 24/7.
[Personality]
On the surface Kyouya is all business. He is efficient, calm, in control, and appears to be very cold. If this were all he was he would be a very boring character indeed. But unlike the other Host Club members, you have to look carefully at his actions and interactions to get a glimpse of who IS rather than whom he PRESENTS himself to be.
He pretends to be an egoist when he isn’t. Basically, he pretends to only act nice and helpful when there is something in it for him, but really he is nice when he feels it necessary whether or not he gets any ‘merit’ from it. A good example of this would be when he rescued that woman from the corrupt salesmen at the shopping center. Although it later turned out she was the wife a company head his family did business with, Kyouya didn’t know that at the time. He simply didn’t want that cheap liar to get away with scamming people. When called out by Haruhi, he merely replied “Well that is an interesting point of view” as it is not in his nature to be shocked or react in any more extreme way than that. But he really is a nice guy, he just doesn’t go about it the same way that an outwardly nice person would, such as Tamaki. But you can depend on him to keep his word as well as look out for his friends.
In practice he is a lot like the Host Club’s mother, as he fills in the managing role (though he is not horribly nurturing) both economically and interpersonally. He basically controls how the members are perceived by their customers, as well as basic fund managing. Though he may complain about Tamaki’s large expenditures, he is only joking. If anything really bothered him, he would do something about it. Such as in the case with the newspaper club doing there utmost to ruin Tamaki, and consequently, the Host Club’s image. In the act of being kind and giving them a first aid kit (after Tamaki injured the president on accident with a can) he really bugged them to later use their confession of ill-intent to ruin them if need be. He, as well as all the other members, used their family’s position to their advantage to blackmail the Newspaper President. He was not afraid to do what was necessary to protect the club, but more importantly protect Tamaki. The same holds true when he smashes Renge’s camera.
His initial interaction with Renge is also important to understanding his character a little better. He acted in accordance with her image of him, as the nice and caring, perfect gentleman, and pretty much let her get away with what she wanted. She was harmless to him or any of the other club members and so he didn’t think she was a threat. But the second her actions lead to something detrimental for a member or for the club as a whole, he did not hesitate to act in an extreme way. He knew that Renge was difficult to reason with and very willful, so instead of trying to sweet talk her down he just picked up a rock. He understands the most direct means to dealing with a person and isn’t afraid to use it. This doesn’t mean he is unkind (though he tries desperately to appear so), he is just efficient. He is all about getting what you need done in the least time consuming and most direct manner.
It is this part of him that makes him better suited that his brothers to take over his father’s company; his Father even admits this. But Kyouya doesn’t feel like he needs or even wants it anymore. He takes it with is own skills and then throws it back at his father. He has something now that he feels is far more important. But wait! So far we haven’t seen Kyouya do anything just for himself. Is this another situation in which he actually helped someone else? Why, yes! Yes I believe it is. By taking over the company himself, he prevented the buyout by Grande Tonnere. How is this helpful to someone else? Tamaki no longer had any motivation to marry Éclair! Therefore, he played a large role in saving the club from utter annihilation. Now, yes Tamaki did end it himself, but if not for Kyouya they may have come back with some other form of blackmail for the poor blond or some other member of the Club. He eliminated what he perceived as a threat to those he cares about.
He doesn’t put on that much of an elaborate act for the ladies. (In fact I don’t think you see him ‘hosting’ all that much), but his natural aloofness is attractive none the less, and he is dubbed the ‘cool type.’ But his resourceful nature is what keeps the Club afloat, and he is also often the voice of reason in a normally chaotic setting. He is a wonderful opposite to Tamaki, as he is calm and in control of his emotions most of the time. In terms of motive they differ greatly, as it is never completely clear what Kyouya thinks he gets out of all of this (one more reason he is NOT in fact an egoist) other than the satisfaction of making people happy and helping Tamaki to do so.

-Supreme OCD cleanliness! He can clean and organize a room like nobodies business. Though is sister often mess that up.
-Meticulous record keeping! Don’t try to sneak any excess spending past Kyouya, he’ll get you.
