Oswald Cobblepot should never have been given the chance to own a buisness. Didn't they know that it was going to be corrupted? How did they not see that coming? She knew very well of what he would have done to clear his name in order to make that buisness deal. She isn't dumb and neither is Batman. Some people can be bought and some can be scared to death.

The Penguin can do both.
